G30 Club

These Terms and Conditions govern membership in the G30 Club, an investment club managed by GlobFolio, and define the rights, responsibilities, and obligations of each participating member.

1. Membership Eligibility and Commitment

1.1 Membership is open to individuals or entities who commit to the full 12-month investment cycle.
1.2 All members must be active subscribers with up-to-date payments for the duration of the cycle.
1.3 By joining, members agree to co-invest with others and accept the shared risk and reward of investing.

2. Investment Requirements

2.1 The minimum subscription is ₦5,000,000.
2.2 An expense ratio of 0.50% will be charged on the total funds under management.
2.3 Funds will be invested exclusively in Nigerian Stock Exchange-listed equities with a market capitalisation of ₦100 billion or more, to ensure liquidity.

3. Investment Strategy and Management

3.1 Investments will be selected and managed by CoachOge, with a focus on capital preservation and growth.
3.2 Performance reviews will be presented during quarterly meetings, where members will be updated on:

• Portfolio performance
• Market outlook and macro conditions
• Any recommended strategic adjustments

4. Profit Sharing

4.1 At the end of the 12-month cycle:

• 80% of net profits will be distributed to all active members, in proportion to their contributions.
• GlobFolio will retain 20% of net profits as performance compensation.

4.2 Members must remain invested until the end of the cycle to qualify for profit distribution.

5. Early Exit Policy

5.1 Members may opt to exit the club before the end of the 12-month cycle by selling their units to existing or new members.
5.2 Any early exit must be done after 10 months at a 30% discount to the current valuation.
5.3 Early-exit members forfeit their right to any year-end profit distribution.

6. Risk Disclaimer

6.1 All members acknowledge and accept that this is a co-investment model, and there are no guarantees of profit.
6.2 Market conditions may affect returns, and members share in both gains and potential losses.

7. Legal and Administrative

7.1 All members agree to abide by applicable Nigerian laws and financial regulations.
7.2 GlobFolio acts as the investment facilitator and will maintain transparent records of transactions, unit ownership, and performance reports.

8. Dispute Resolution

Any disputes arising out of or related to membership or investment activities will first be resolved through internal arbitration. If unresolved, disputes shall be settled under Nigerian law in a competent court in Lagos.

9. Acceptance

By subscribing to one or more units and paying the requisite investment amount and expense fee, the individual or entity agrees to be bound by these terms and conditions.
